Responsibilities

  • Conducts review of Prime compliance with government build-operate-transfer (BOT)/PPA and IPPA regulations, ERC issuances, DOE governance, including in particular RESC administration, to ascertain all risks and obligations of Prime are identified, addressed, and met, and potential disputes are avoided. 

  • Executes research studies and analysis of project-related problems/issues (IPPA, IPP, BOT, RESC and DOE) and recommends well thought-out defensive or offensive strategies to prevent unnecessary exposure and protect the Prime brand. 

  • Provides legal advice and guidance on project-related matters (Power Opportunities and Power Group concerns) and keeps relevant stakeholders abreast of developments critical to business decision-making. 

  • Develops and drafts contracts and negotiates for potential and existing projects of Prime with government units, financial institutions, operating units, and others to ensure legal and acceptable binding agreements and protection of Prime’s interests. 

  • Performs contract reviews of contracts prepared by external parties/business units and gives recommendations to ensure Prime’s proprietary and non-proprietary rights are substantially/fully protected. 

  • Controls access to contracts and maintains confidentiality of project-related legal activities to prevent possible leakages and ensure integrity of engagements. 

  • Acts as resource during claims/defense and counterclaims, litigation, negotiation and court proceedings circumstances. Manages disputes. 

  • Manages the contract implementation of fund sourcing agreements and ensures that financial and non-financial loan covenants of Prime are met to maintain strong business credibility with banks & financial institutions. 

  • Participates in legal audit and compliance activities of Prime. • Partners with Power’s Business Development and/or Project Execution Teams for the implementation of projects by identifying, assessing and managing legal risks. 

  • Perform other tasks assigned by the Chief Legal Officer.

Requirements

  • Bachelor’s Degree (LLB or JD) in Law and a member in good standing of Philippine Bar.

  • Experience and expertise on Energy-related legal affairs and negotiations.

  • At least 5 years’ experience in a managerial role.

About the Role

The successful candidate will be responsible for the delivery and management of project-related legal affairs, ensuring compliance with legal and contractual requirements for Prime’s projects, and assisting the implementation and completion of transactions, acquisitions and business directions, and substantiating the legal basis for potential and ongoing-projects.
